Billing Policies & Fees

General Payment Terms


Use of Keeperly’s services constitutes acceptance of this Billing Policy. All accounts are set up on a prepaid subscription basis, meaning payment must be received before any services are activated. A valid payment method (e.g., credit or debit card) must be kept on file at all times for recurring charges and any usage fees. Keeperly accepts all major credit cards (and other payment methods at its discretion) for subscription payments. All subscriptions renew automatically at the end of each billing period unless cancelled in accordance with this Policy. Payment receipts are provided electronically for each successful charge.


Trials: If Keeperly offers a trial period, it is limited to one trial per customer. Payment information may be required prior to starting a trial, and the account will be automatically converted to a paid subscription (and billed) at the end of the trial unless cancelled before the trial ends.


Non-Payment: If a subscription charge is declined or fails, access to the Keeperly platform will be immediately suspended. Keeperly reserves the right to remove or delete customer data from its servers if payment is not made within a reasonable time after the due date. Any attempt to evade or circumvent agreed payment (for example, exploiting any self-service billing features to avoid charges) is a violation of this Policy and may result in immediate termination of service and full acceleration of any amounts due.


Subscription Plans & Included Usage

Keeperly offers three subscription plans. All communication usage (emails, text messages, voice minutes, etc.) is metered and billed separately at the rates described below. No plan includes a monthly allowance of “free” communication credits. Feature access varies by plan:


Launch – $147/month (one-time $497 setup fee): Designed for new businesses, this entry-level plan includes a basic feature set. AI features are NOT included on the Launch plan. SMS and phone capabilities are NOT included on this plan (no phone number is provided), so it is not subject to any telephony fees or A2P registration requirements.

Accelerate – $297/month (one-time $997 setup fee): A plan for growing teams. AI features are NOT included on Accelerate. This plan supports SMS texting and calling features (a Keeperly phone number can be added) and therefore is subject to applicable telephony fees which will be billed separately as outlined below.

Transform – $497/month (one-time $1497 setup fee): A comprehensive plan for established businesses. AI features are included in the Transform plan (access to Keeperly’s AI-driven content, workflow, and other intelligent automation tools is enabled). This plan also supports full SMS and voice capabilities. SMS, voice calling, and AI usage are all enabled and billed separately as applicable.

Important: Each plan may include or exclude certain software modules (for example, contracts & invoicing, chat widgets, and other add-ons). If a needed feature is not available in your current plan, upgrading to a higher tier will be required to access it.

Billing Cycle and Renewal

Keeperly subscriptions are billed on a recurring monthly basis (or annual basis, if you have selected an annual term). The billing period begins on the date you purchase the subscription and recurs on the same day each month. For example, if you sign up on the 15th of a month, your billing cycle will run from that day and renew on the 15th of each subsequent month.

Your designated payment method on file will be automatically charged at the start of each billing cycle for that cycle’s subscription fee. Any usage charges (emails, texts, calls, AI services, etc.) accrued during the prior billing cycle will be billed separately as additional line items. Usage fees may also be billed mid-cycle if usage thresholds are exceeded to maintain uninterrupted service.


It is the customer’s responsibility to ensure that the payment information is up to date to avoid interruptions. Keeperly does not send paper invoices; all billing is processed automatically and an electronic receipt will be available after each successful charge.

If you wish to cancel your subscription (to avoid the next renewal charge), you must submit a cancellation request at least 10 days before your upcoming billing date. This advance notice is required to ensure your card is not charged for the next period. See the Cancellation section below for details on how to cancel. Keeperly will not prorate or refund any unused time in your current billing cycle if you cancel mid-cycle; your access will continue for the remainder of the paid period, after which the account will close.


Usage Fees

All communication and AI services are metered and billed separately from your subscription fee. There is no included monthly usage allowance.


There is no opt-out option for usage charges. Any service usage (emails, texts, calls, AI services, etc.) is billed according to the following standard rates:


Outbound Emails - $0.000675 per email ($0.675 per 1,000 emails)

Email Address Verification - $0.0037 per verified contact

SMS Text Messages (inbound and outbound, U.S.) - $0.0079 per 160-character segment

MMS (Picture Messages) - Outbound $0.020 • Inbound (local) $0.010 • Inbound (toll-free) $0.020

Voice Calls - Outbound $0.018/min • Inbound (local) $0.0085/min • Inbound (toll-free) $0.022/min

International SMS / Voice - Billed at prevailing carrier destination rates


Combined Usage Example:


As a rough guide, $10.00 of usage credit typically equates to approximately:

- 14,800 outbound emails

- or 1,265 SMS text segments

- or 555 minutes of outbound U.S. voice calling


Billing Increments and Thresholds:

- Keeperly generally bills communication usage in $10 increments.

- Once the initial $10 block is depleted, another $10 (or more) will automatically be charged to your card.

- The minimum aggregated usage fee billed is $1.00 (even if your actual usage falls slightly below $1.00).

This incremental billing approach ensures your account remains funded and active for ongoing communications without interruption.


Important: All usage-based fees are non-refundable once incurred.


Phone Number Provisioning: For plans that support telephony (Accelerate and Transform), if you choose to utilize SMS or voice features, Keeperly will provide you with a dedicated phone number (or multiple numbers) through our system. The monthly fee for a local U.S. phone number (standard 10-digit number) is $1.15 per number per month, and the fee for a toll-free number is $2.15 per number per month​. These fees cover the carrier costs of provisioning and maintaining your number, and they will be added to your bill automatically each month for each active number on your account. (International phone number availability and pricing vary by country; if you require a non-US number, we will inform you of the monthly cost, and you must agree to that charge before the number is obtained.)

A2P 10DLC Registration Fees: (Applicable to Accelerate and Transform plans using SMS.) U.S. carriers require businesses that send SMS messages via standard long-code numbers to register their business and messaging use-case. This is known as A2P 10DLC (Application-to-Person 10-Digit Long Code) registration. If you will be sending SMS to U.S. mobile users, you must complete this registration through Keeperly’s system. The registration process incurs fees set by the carriers and The Campaign Registry, which are passed through directly with no markup:

- A one-time brand and campaign registration fee of approximately $4 to $65 USD. This covers the carrier’s vetting of your business and campaign. The exact one-time fee can vary depending on your specific use-case type and carrier rates.

- An ongoing monthly A2P campaign fee of approximately $2–$12 USD per month. The amount varies based on your messaging campaign type and the carriers. For instance, a low-volume campaign might incur around $2–$3 per month, whereas a standard high-volume campaign might be around $10–$12 per month. This fee is charged by the carriers to maintain your registered status and is passed through to you on your Keeperly bill each month as long as your number remains A2P-registered for texting.


Note: Keeperly does not mark up these A2P fees – they are imposed by third-party networks and are subject to change. We will facilitate the registration and simply pass the exact costs to your account. If you fail to register and still attempt to send A2P messages, carriers may block your messages; therefore, registration is mandatory for sustained SMS use. (The Launch plan is not subject to any A2P fees because it does not include SMS capabilities or phone number access.)

Workflow Premium Triggers & Actions: Certain advanced workflow automation steps are designated as premium triggers/actions. Each execution of a premium trigger or action (for example, specific third-party integrations, webhooks, or advanced data processing steps in your workflows) incurs a usage fee of $0.01 per execution. This fee will be charged each time a premium trigger or action runs in any of your automations. Most standard workflow actions (such as sending emails or updating contacts) remain free.

AI Feature Usage: (Applicable to the Transform plan, as Launch/Accelerate have no AI access.) Use of Keeperly’s AI-powered features (such as content generation, AI-based workflows, conversation bots, voice AI agents, etc.) may incur usage-based fees. The Transform plan grants access to these AI tools and the actual consumption of AI services will be metered. Standard rates for AI feature usage are as follows:

- Content Generation AI: $0.09 per 1,000 words generated by the AI writing tools, and $0.06 per AI-generated image (if the service includes image generation)​.

- Workflow/Automation AI: For advanced AI-driven automations (such as those using large language model APIs), $0.03 per execution of a GPT-4 level task and $0.015 per execution of a GPT-3.5 level task​.

- Conversational/Chat AI: $0.02 per message processed by the AI chat assistant (e.g. chatbot conversation messages).

- AI Voice Assistant: $0.13 per minute for AI-driven voice call assistance (e.g. an AI that answers calls on your behalf)​.

- Review Responses AI: $0.08 per automated review response generated by the AI (if an AI feature responds to customer reviews on your behalf)​.

- Funnel AI: $0.99 per funnel for any AI-generated sales funnel content/analysis.

AI Usage Example:

A $10 credit generally covers approximately:


- 111,000 words of content generation

- 166 AI-generated images

- 500 GPT-4 workflow tasks

- 666 chatbot messages

- 76 minutes of AI voice calls

- 125 review responses

- 10 AI-generated funnels

Note: All AI usage charges are non-refundable and are billed separately at the end of the billing cycle.

Rates may change if third-party provider costs change; continued use of services indicates acceptance of updated pricing.


Plan Upgrades and Downgrades

Your subscription plan may be upgraded or downgraded to a different tier, but such changes will take effect only at the start of your next billing cycle. Keeperly does not perform mid-cycle plan changes that alter your billing immediately. This means: if you request an upgrade from Launch to Accelerate or from Accelerate to Transform, the higher plan’s features and limits will become available when your upcoming billing period begins (and you will be charged the new plan rate at that time). We do not charge a pro-rated difference in the middle of a paid cycle for an upgrade; instead, you continue on your current plan until the next renewal date, at which point the new plan kicks in. If you need additional capacity or features before your renewal and cannot wait, please contact our support team – however, our standard policy is to schedule upgrades for the next cycle to maintain consistent monthly billing.

Downgrades (switching to a lower plan) likewise take effect at the start of the next cycle. If you choose to downgrade, you will remain on your current plan through the end of the paid period and then move to the lower plan afterward. Keep in mind that downgrading will remove some features or reduce usage limits. Ensure that your usage and required features will fit within the new plan’s limits before downgrading. Keeperly is not responsible for any loss of features or data capacity due to a plan downgrade that you initiate.


Cancellation


To cancel your Keeperly subscription, you must complete and submit the official Keeperly Cancellation Form. This form is required to document your cancellation request and initiate the account closure process. Verbal cancellations or informal emails will not be accepted as valid notice. You must submit the form at least 10 days prior to your next billing date to avoid renewal for the following period.

Once the form is submitted, your subscription will be marked for cancellation, and you will retain access to the Keeperly platform through the end of your current paid billing cycle. After that date, access will automatically end and your account will be closed. If you prefer to terminate access immediately, you may indicate that on the form (however, no prorated refunds will be given for early termination of an active cycle).

Upon submitting the cancellation form, you will receive confirmation from Keeperly (either via a representative or an automated system). Please retain this confirmation for your records. If you do not receive confirmation within a reasonable timeframe, please follow up promptly, as unconfirmed cancellations may not be processed.

Any charges or fees accumulated prior to cancellation (such as overages during the final billing cycle) will remain due. If your account has an outstanding balance at the time of cancellation, Keeperly will attempt to charge the payment method on file for the amount due. If that charge fails, you are expected to settle the balance promptly. Accounts with unpaid balances after cancellation may be referred to collections as described below.


Non-Payment, Collections, and Late Fees

If your account is in arrears (due to non-payment of subscription fees or usage fees), Keeperly may suspend or terminate service as noted above. We may also refer delinquent accounts to third-party collections agencies if payment is not received within a reasonable time. You agree to pay any collection costs incurred by Keeperly in recovering overdue amounts, including reasonable attorneys’ fees and expenses.


In such cases, a $35 collections handling fee will be applied to your account to cover the administrative burden of managing the collections process. This charge is separate from any prior fees or overdue amounts.


If a customer disputes a valid payment by initiating a chargeback through their bank or card provider, a

$45 dispute response fee will be assessed to cover the cost of handling, investigating, and responding to the claim. This fee is applied per chargeback incident.


Additionally, unpaid balances may accrue interest at a monthly rate of 1.5%, or the highest amount permitted by law—whichever is lower. Interest is calculated based on the total outstanding balance and will continue to accrue until payment is received in full.


Keeperly will provide notice via email of any overdue status and give a final opportunity to resolve payment before escalation. It is your responsibility to ensure your billing contact information and payment method remain current to avoid service disruption or penalty.

Billing Disputes

If you believe there has been a billing error, you must notify Keeperly in writing within fifteen (15) days of the charge by emailing [email protected]. Please include details such as your account name, the specific charge in question, and a clear explanation of the issue. Disputes submitted after this 15-day window may not be eligible for review or refund.

Initiating a chargeback without first attempting to resolve the issue with Keeperly directly may result in additional dispute handling fees and account restrictions as outlined in this Policy.


Refund Policy


Keeperly’s services are generally provided on a subscription and usage basis, and as such, fees (whether subscription fees or usage-based fees) are typically non-refundable once charged. This includes the setup fees, monthly subscription charges, and any overage/usage fees for services already consumed. If you believe there has been a billing error or extenuating circumstance, you may contact Keeperly support for review. Refund requests will be evaluated on a case-by-case basis at Keeperly’s sole discretion. Trial fees or one-time promotional credits (if any) are not refundable unless explicitly stated in a promotion’s terms. Note that refund policies do not apply to usage-based fees – once a service like an email or SMS or AI task has been used, the cost is incurred and cannot be refunded​. Keeperly will always strive to be fair and transparent with billing; any adjustments or exceptions will be made in writing. If a refund or credit is issued, Keeperly may apply it to your account balance to be used against future charges, or return it to the original payment method, at its discretion.


Changes to Fees or Policy

Keeperly may update this Billing Policy and the fees charged from time to time. Changes may be made to reflect evolving service offerings, operational costs, or other business considerations. We are committed to transparency and will provide notice of any significant changes by posting an updated version of this Policy on our website and/or notifying account owners by email.

It is your responsibility to review the Billing Policy periodically. Continued use of Keeperly’s services after a Policy update constitutes acceptance of the revised terms and fees. If you do not agree with any changes, you must cancel your subscription before the new terms take effect.

General Terms and Contact Information

This Billing Policy is intended to supplement and be read in conjunction with our Terms of Use. In the event of any conflict between this Policy and the Terms of Use, the Terms of Use shall govern.

By maintaining a subscription with Keeperly, you acknowledge that you have read, understood, and agree to this Billing Policy in its entirety. This Policy is designed to be clear and fair, ensuring that both Keeperly and our clients have a mutual understanding of the financial terms of our service.
