Billing Policies & Fees

I. General

1. Acceptance of Billing Policy

Use of Keeperly products and services (including but not limited to Keeperly software, applications, and add-ons) constitutes your acceptance of and agreement to comply with Keeperly’s Billing Policy. By subscribing or making a payment, you confirm that you have read, understood, and agree to the terms outlined here.

Prepaid Basis

All accounts are set up on a prepaid basis. Payment must be received by Keeperly before any billable product or service is provided or activated. If you are signing up for a trial, a valid payment method must be placed on file before your account is created.

One Trial Limitation: Trial subscriptions when offered are limited to one trial per person or organization, per product. The purchase and subsequent cancellation of multiple trials may result in permanent closure of the account.

Payment Method

You are required to keep a valid credit or debit card on file to be charged for recurring monthly or annual subscription fees and any overage usage fees. All recurring subscriptions are automatically invoiced and charged to the credit/debit card on file.

Self-Billing Exploitation

If it is determined that a user fails to pay agreed monthly or annual payments by exploiting any self-billing feature, all associated accounts may be terminated immediately, without warning. The user will be liable for all unpaid usage charges incurred.

Subscription & Usage-Based Billing

Subscription billing is based on the availability and provision of products and services within the defined parameters of the selected package. Certain features are usage-based (e.g., Keeperly for email, SMS, telephony, bandwidth, AI usage, domain overages, courses, training, events, etc.).

Overages: If usage exceeds the plan’s included allotment, additional fees (overages) will apply. See Section VI for further details.

II. Billing Cycle

1. Credit/Debit Card Billing

All credit or debit cards on file are automatically charged on the customer’s specific billing cycle date (monthly, annually, or otherwise specified). The billing cycle typically begins on the day of the month (or year) in which you purchased the subscription.

2. Payment Failure

If a payment is declined or otherwise fails, access to the product will immediately cease. Keeperly will attempt to notify you so that you can update payment information. Failure to resolve outstanding balances may lead to suspension or cancellation of your account (see below).

3. Deactivation

Keeperly reserves the right to remove customer application data from its servers after a period of nonpayment. Typically, account data is kept for up to 30 days, but Keeperly may at its discretion retain or purge data as needed.

III. Cancellation Policy

1. Immediate Effect of Cancellation

Cancellation of a subscription immediately closes access to the account. If you have time remaining on a subscription (e.g., an annual term), you may contact support at [email protected] to reinstate access for the remainder of that term, subject to Keeperly’s approval.

2. Cancellation Requests

Advance Notice: You must request cancellation at least 10 days before your next billing date to avoid being charged for the next cycle.

How to Cancel: By emailing [email protected]

Cancellation Confirmation: Please keep a record of the cancellation request. Unless a valid request is received, billing will continue, potentially resulting in a past-due account.

3. Outstanding Balances

Cancellation of an account does not dismiss outstanding invoices or nullify previously agreed charges. Any outstanding balance remains due at the time of cancellation. If unpaid, Keeperly may turn the account over to a third-party collections agency.

4. No Prorations

Keeperly does not prorate any unused portion of the subscription if cancellation occurs mid-cycle (unless otherwise stipulated by specific laws or promotional terms). Subscription fees are nonrefundable once a billing period has begun (see Section 9).

IV. Collections, Chargebacks & Interest

1. Collections Fee

In the event an account is submitted to a third-party collections service, Keeperly may assess a $35.00 processing fee to the existing account balance. This fee is in addition to any other fees previously assessed.

2. Chargebacks

If a customer initiates a chargeback without first providing Keeperly the opportunity to resolve any disputes (minimum 30 days notice), Keeperly may assess a $50.00 processing fee for each individual chargeback.

Account Suspension: Keeperly reserves the right to suspend the account immediately upon receiving a chargeback notice.

Recovery: If a chargeback is resolved in Keeperly’s favor, Keeperly retains the right to collect any unpaid fees for services rendered. Disputed amounts may be turned over to collections if they remain unpaid.

3. Interest on Overdue Payments

Any charges not paid when due are subject to interest at the maximum interest rate allowed by applicable law.

V. Payment Methods

1. Accepted Methods

Keeperly accepts most major credit cards. In some cases, PayPal or other online payment services may be accepted. If your preferred method is not supported, please contact support for guidance.

2. Payment Security & Compliance

Keeperly utilizes secure third-party payment processors (e.g., Stripe, PayPal, or others). These processors collect and process your payment information on our behalf. Keeperly does not store or directly handle your full payment card details. All payment transactions adhere to industry-standard security protocols and compliance requirements (such as PCI-DSS). We do not share payment information with unauthorized parties, and any issues regarding payment data security should be directed first to the relevant payment processor.

VI. Overages and Additional Fees

1. Monthly Allotments

Each Keeperly subscription package (Launch, Accelerate, Transform, etc.) includes a certain allotment of email sends, text messages (SMS), and telephony minutes. These are stated in your plan details and summarized below:

Launch: ~1,000 emails OR ~95 texts OR ~85 minutes of calls per month

Accelerate: ~10,000 emails OR ~933 texts OR ~823 minutes of calls per month

Transform: ~25,000 emails OR ~2,300 texts OR ~2,000 minutes of calls per month

2. Overage Billing

If you exceed your monthly usage allotment for emails, text messages, or calls, you will be automatically billed for those overages.

- Email Overages: $2.10 per additional 1,000 emails.

- Phone Numbers/A2P: $3.45/month (local US), $6.90/month (toll-free). A2P registration fees vary ($20–$50 one-time, plus $10–$15/month).

- Texts/Calls:

$0.015 per text segment (160 chars)

$0.026 per minute outbound calls

$0.017 per minute inbound calls

Outbound SMS from the US to Canada: $0.0237 per segment

- Increment Billing: Once you have used up your monthly credits, you will be billed in increments of $10.00 to establish a new credit for calls and SMS. Your account will continue working without interruption provided overages are paid when due.

- Minimum Charge: The minimum dollar amount Keeperly can charge to a card is $1.00. Charges under $1.00 will be rounded up to $1.00.

3. AI Assistant Usage

- Included AI Credits: Depending on your plan, you receive a certain number of AI content generations each month.

- Additional AI Charges: Once the included usage is exceeded, additional usage is billed at the current per-message or per-word rate.

- Exclusions: This usage does not cover third-party AI integrations outside the Keeperly platform or abnormal high-volume content generation.

4. Normal & Reasonable Business Use

Keeperly offers certain “unlimited” features within fair-use limits. Excessive usage, such as extremely high server requests, large-scale email distribution (spam-level volumes), or resale of services without authorization, may cause account suspension or throttling. Keeperly reserves the right to withdraw or change any unlimited feature with prior notice.

VII. A2P Registration & Additional Carrier Fees

1. A2P 10DLC (US SMS)

If you send SMS to US phone numbers, you must register your business with carriers:

- One-time brand registration: ~$20–$50

- Monthly campaign fee: ~$10–$15 per campaign

- Additional fines/fees imposed by carriers for non-compliant messaging may be passed on to you.

2. Phone Number Costs

- Local US Numbers: ~$1–$3/month (varies by region/carrier)

- Toll-Free Numbers: ~$5–$6.90/month

- International Numbers: Pricing varies; contact support.

3. Rates Subject to Change

All telecom-related fees (SMS, voice calls, phone numbers) are subject to updates based on carrier changes. Keeperly will strive to provide timely notice before adjustments. Your continued use of SMS/calling features after a rate change constitutes acceptance of the new rates.

VIII. Upgrades & Downgrades

1. Upgrades

Subscriptions may be upgraded at any time. Keeperly will apply a pro-rated charge based on the time remaining in the current billing cycle. After that, the new package rate applies on your next standard billing date.

2. Downgrades

Downgrades require contacting Keeperly’s support team (via the portal or email) to ensure your account assets (features, data, etc.) are aligned with the lower-tier plan. Downgrades go into effect the following billing cycle.

Feature Loss: Some features may be lost upon downgrade. It’s your responsibility to back up or export data before downgrading.

3. Billing for Overages

Any overages incurred while on a higher-tier subscription are billed according to the active subscription at the time of usage, even if you later downgrade.

IX. Refund Policies

1. Strict No-Refund Policy

Keeperly maintains a strict no-refund policy for subscription fees. Access to the software and proprietary resources is provided immediately upon purchase, and refunds are therefore not granted. This applies to partial or unused subscription periods as well.

2. Exceptions

- Double Billing / Accidental Charges: If you are accidentally billed twice for the same service or an incorrect amount is charged, Keeperly will issue a refund or account credit for the overcharge.

- Charge Errors: Any disputed or erroneous charges should be reported within 14 days of the statement date for investigation.

3. Refund Abuse

Keeperly may refuse a refund or disallow repurchasing of a previously refunded product if there is evidence of fraud, refund abuse, trial abuse, or other manipulative behavior designed to obtain product access without proper payment.

4. No Refund on Overage Fees

Overage fees for usage beyond your plan’s allotments (e.g., SMS or call credits) are nonrefundable. Usage is consumed immediately, and no refunds apply to past usage.

X. Billing Disputes

1. Notice & Resolution

Each Keeperly customer agrees to provide Keeperly 30 days to attempt settlement of any billing dispute before disputing with any third-party credit/debit card company or bank.

2. Chargeback Consequences

Should Keeperly receive a chargeback or payment dispute from your credit/debit card company or bank before the 30-day resolution window, Keeperly has the right to:

- Suspend or terminate your account(s) immediately.

- Assess a $45.00 chargeback fee per disputed transaction.

- Turn any unpaid amounts over to a collection agency, adding applicable collection costs.

3. Fair Resolution

Keeperly is committed to working with customers to address billing concerns. However, customers who initiate chargebacks without following the dispute resolution procedures in this policy risk termination of their account and further collection activities.

XI. Taxes & Compliance

1. Taxes & Fees

All subscription and usage fees are exclusive of any taxes, levies, or duties required by law (e.g., sales tax, VAT, GST). You are responsible for paying applicable taxes. If Keeperly must collect taxes, they will be added to your invoice.

2. Withholding Taxes

If you are obligated to withhold any amounts under local tax laws, you must gross up your payments so that Keeperly receives the full amount invoiced.

3. Tax-Exempt Entities

If you qualify for a tax exemption, provide Keeperly with valid exemption documentation before your invoice is generated.

XII. Normal & Reasonable Business Use

1. Unlimited Feature Usage

Keeperly offers “unlimited” features (e.g., hosting, membership, email sends) within fair-use guidelines. Excessive or abusive use that is inconsistent with typical business usage (such as reselling or mass distribution at spam scale) may lead to throttling or service termination.

2. Excessive Use

Examples of excessive use include (but are not limited to):

- Unusually high volume of server requests.Disproportionate number of videos uploaded/streamed.

- Very large-scale email blasts outside typical business scope.

- Sharing your “unlimited” plan with separate businesses or individuals. Keeperly reserves the right to define what it considers “excessive” or “abuse” based on patterns that negatively affect overall service quality.

3. Changes to Unlimited Features

Keeperly may withdraw or change any unlimited feature at any time. You will receive notification describing any changes and the date they take effect.

XIII. Updates to This Policy

1. Right to Update

Keeperly reserves the right to update or modify this Billing Policy at any time. Major changes will be communicated at least 30 days before they become effective, typically via email or a prominent notice on the Keeperly website.

2. Continued Use

Continued use of Keeperly’s services after the effective date of any changes to this Billing Policy constitutes acceptance of those changes.

XIV. Acceptance & Agreement

By subscribing to or using Keeperly’s services, you acknowledge that you have read, understood, and agree
